Terms and Conditions Eschlbeck-Engineering-Consulting
1. General Terms
These terms and conditions apply with respect to entrepreneurs and legal entities of public law.
Deviating conditions of the customer that are not explicitly acknowledged the Contractor in writing, are not binding and have no validity, even if they are not expressly contradicted.
All agreements and offers are based on the conditions of the contractor. They apply by placing an order to be accepted.
2. Offers, Prices, Payment
The offers of the contractor are subject to change.
The offers are valid only in written form.
Prices quoted are subject to the proviso that the tender underlying order data remain unchanged. The offered prices are quoted as net prices in Euro plus VAT.
Invoicing takes place after a fulfilled contract, at about the normal level beyond engineering consulting services the contractor is entitled to demand reasonable interim payment. Invoices are due within 14 days of the invoice date without deduction.
3. Drawings and specifications
At notified drafts, drawings, especially schedules, production techniques and profiles, the right of exclusive marketing is claimed. The execution and imitation by third parties requires the approval rights of the contractor.
Designs, drawings, proposals or technical documents remain the sole property of the contractor, even if the principal purpose will be charged.
The order is considered complete when it has been confirmed by the contractor in writing. Subsequent changes to the contract - caused by the customer - shall entitle the Contractor to the corresponding change in the contract condition influenced thereby. All changes also require written confirmation.
4. Performance, Jurisdiction and Applicable Law
Depending on the respective contract award is the fulfillment of the office of the Contractor in Prien am Chiemsee. Jurisdiction is Rosenheim.
The contractual relationship is exclusively the law of the Federal Republic of Germany.
5. Other agreements
As far as in this agreement, no special rules are adopted, the statutory provisions apply.
